Kingman Closes $963,090 Private Placement

Vancouver, B.C. (January 28, 2021) Kingman Minerals Ltd. (TSX-V:KGS) (FSE:47A1) (“Kingman” or the “Company”) is pleased to announce that the TSX Venture Exchange has accepted for filing a financing for gross proceeds of $963,090 by issuing 10,700,999 units at a price of $0.09 per unit. Each unit consists of one common share and one transferrable share purchase warrant exercisable at a price of $0.12 for two years from the date of issuance (expiry date of January 28, 2023). All shares and warrants issued pursuant to this financing will be subject to a statutory hold period of 4 months plus a day from the date of closing.

Finder’s Fees of 6% cash only will be paid to various finders’ as follows: $5,940 will be payable to Mr. Ken Macleod, $8,100.00 will be payable to Haywood Securities Inc., $599.40 will be payable to Echelon  Wealth Partners, $11,070.00 will be payable to Mackie Research Capital Corp., $16,205.40 will be payable to Canaccord Genuity, and $7,500.60 will be payable to Hampton Securities Limited.

Pro-Group members subscribed for a total of $63,000. Insiders of the Company subscribed for $221,500 and are utilizing MI 61-101 Exemption from Formal Valuation Requirement 5.5 (a) Fair Market Value Not More Than 25% of Market Capitalization and Exemption from Minority Approval Requirement 5.7 (1) (a) Fair Market Value Not More Than 25 Per Cent of Market Capitalization and (b) Fair Market Value Not More Than $2,500,000 for their participation.

Proceeds from the placement will be used for general working capital and further exploration and development activities, including the proposed drill program commencing in February 2021.
